General Terms and Conditions

Article 1 – Definitions

In these terms and conditions, the following definitions shall apply:

  • Entrepreneur: the natural or legal person offering products and/or services to consumers at a distance.
  • Consumer: the natural person not acting in the exercise of a profession or business who enters into a distance contract with the entrepreneur.
  • Distance contract: an agreement concluded within a system organized by the entrepreneur for distance selling of products and/or services, whereby exclusive use is made of one or more means of distance communication up to and including the conclusion of the agreement.
  • Means of distance communication: tools that can be used for concluding an agreement without the consumer and entrepreneur being physically present in the same place at the same time.
  • Withdrawal period: the period within which the consumer may exercise the right of withdrawal.
  • Right of withdrawal: the option for the consumer to withdraw from the distance contract within the withdrawal period.
  • Day: calendar day.
  • Duration transaction: a distance contract relating to a series of products and/or services, the supply and/or purchase obligation of which is spread over time.
  • Durable medium: any means that allows the consumer or entrepreneur to store information personally addressed to them in a way that enables future consultation and unaltered reproduction of the stored information.

Article 2 – Scope

These general terms and conditions apply to every offer made by the entrepreneur and to every distance contract concluded between the entrepreneur and consumers.

Before the distance contract is concluded, the text of these general terms and conditions shall be made available to the consumer. If this is not reasonably possible, it will be indicated where the conditions can be inspected at the entrepreneur’s premises and that they will be sent free of charge upon request.

If the distance contract is concluded electronically, the text of these general terms and conditions may be supplied electronically in such a way that it can be easily stored by the consumer on a durable medium. If this is not reasonably possible, it will be stated where the general terms and conditions can be accessed electronically and that they will be sent electronically or otherwise free of charge upon request.

If specific product or service conditions apply in addition to these general terms and conditions, the consumer may always rely on the provision that is most favorable to them in case of conflicting terms.

Article 4 – The Offer

  • If an offer has a limited validity period or is subject to conditions, this will be expressly stated in the offer.
  • The offer contains a complete and accurate description of the products and/or services offered. Images used are a true representation of the products and/or services. Obvious errors or mistakes do not bind the entrepreneur.
  • Each offer includes information making it clear to the consumer what rights and obligations are involved in accepting the offer, such as:
  • Price including taxes;
  • Any delivery costs;
  • The manner in which the agreement will be concluded and the necessary steps to do so;
  • Whether or not the right of withdrawal applies;
  • The method of payment, delivery, and performance of the agreement;
  • The deadline for accepting the offer or the validity of the price;
  • The rate for distance communication if higher than the basic rate;
  • How the consumer can review or correct errors before placing an order;
  • Available languages for concluding the agreement;
  • Applicable codes of conduct and how they can be viewed electronically;
  • The minimum duration in case of a continuous or periodic contract.

Article 5 – The Agreement

The agreement is concluded at the moment the consumer accepts the offer and fulfills the stated conditions.

If the consumer accepts the offer electronically, the entrepreneur shall immediately confirm receipt of acceptance electronically. Until this confirmation is received, the consumer may dissolve the contract.

The entrepreneur shall take appropriate technical and organizational measures to protect the electronic transfer of data and ensure a secure web environment. If the consumer can pay electronically, the entrepreneur will ensure secure payment measures.

The entrepreneur may, within legal boundaries, verify whether the consumer can meet payment obligations and assess relevant facts important for a responsible conclusion of the agreement. If the entrepreneur has valid reasons not to conclude the contract, they may refuse an order or attach special conditions, stating reasons.

The entrepreneur shall send the following information with the product or service, in writing or in a durable medium:

  • Conditions for and the process of exercising the right of withdrawal, or a statement of its exclusion;
  • Information listed in Article 4, paragraph 3, unless already provided before contract execution.

If the entrepreneur undertakes to deliver a series of products or services, this provision applies only to the first delivery.

Article 6 – Right of Withdrawal

When purchasing products, the consumer may dissolve the contract without giving reasons within 14 days after receiving the product. After notifying the entrepreneur of withdrawal, the consumer has another 14 days to return the product.

During this period, the consumer shall handle the product and packaging with care and only unpack or use it to the extent necessary to determine whether they wish to keep it. Products must be returned in original condition and packaging, with all accessories, following the entrepreneur’s instructions.

Article 7 – Costs in Case of Withdrawal

If the consumer exercises the right of withdrawal, only the return shipping costs are at their expense. If the consumer has already paid, the entrepreneur will refund the full amount as soon as possible and no later than 14 days after withdrawal or receipt of the returned product.

Article 8 – Exclusion of the Right of Withdrawal

The entrepreneur may exclude the right of withdrawal only if clearly stated in the offer, and before the contract is concluded.

Exclusion applies only to products:

  • that are clearly personal in nature;
  • that spoil or age quickly;
  • such as single newspapers or magazines;
  • audio/video recordings or computer software once the seal is broken;
  • subject to market price fluctuations beyond the entrepreneur’s control;
  • that cannot be returned due to their nature;
  • that are made to the consumer’s specifications.

Article 9 – Prices

  • During the offer’s validity period, prices will not increase except for changes in VAT rates.
  • Products or services subject to market fluctuations may have variable prices, stated as indicative in the offer.
  • Price increases within 3 months of contract conclusion are only permitted due to legal regulations.
  • Price increases after 3 months are allowed only if stipulated and the consumer may cancel the contract when the increase takes effect.
  • All prices include VAT.

Article 10 – Conformity and Warranty

The entrepreneur guarantees that the products and/or services comply with the contract, the specifications mentioned in the offer, and applicable legal standards.

Any additional warranty provided by the manufacturer or importer does not affect the consumer’s legal rights against the entrepreneur.

Article 11 – Delivery and Execution

The entrepreneur will handle orders with care. The place of delivery is the address provided by the consumer.

Accepted orders will be executed within 30 days unless otherwise agreed. In case of delay, the consumer may cancel the order and request a refund within 30 days.

If delivery of an ordered product is impossible, the entrepreneur will offer a replacement article at no extra cost. Replacement items may also be returned under the right of withdrawal.

The risk of damage or loss of products rests with the entrepreneur until delivery to the consumer.

Note: If an order is returned due to an incorrect address or non-collection, return costs will be charged. Reshipping will incur new shipping costs. TB-JP.eu is not responsible for delivery failures caused by incorrect address details. In the event of carrier errors, TB-JP.eu will await the carrier’s investigation.If the buyer modifies the delivery address or delivery instructions after the order has been dispatched (for example, through the carrier, such as PostNL and DPD), this is done entirely at the buyer’s own risk. The seller shall not be held liable for any loss, damage, or delay of the shipment resulting from such modifications

Article 12 – Payment

  • Unless otherwise agreed, payment must be made before delivery.
  • The consumer must immediately report inaccuracies in provided payment details.
  • In case of non-payment, the entrepreneur may charge reasonable costs, disclosed in advance.

Article 13 – Complaints Procedure

The entrepreneur has a publicly available complaints procedure and handles complaints accordingly. Complaints must be submitted within a reasonable period after discovery of a defect.

Complaints will be answered within 14 days. If more time is needed, a notice of receipt and expected resolution date will be provided.

All sales and agreements through TB-JP.eu are governed exclusively by Dutch law. The Vienna Sales Convention does not apply.

Article 14 – Applicable Law and Competent Court

All agreements are governed by Dutch law. The competent court is the court in the entrepreneur’s place of business.
